1. Acceptance of Terms
By accessing or using the Audital platform (“Service”), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this Service.
2. Description of Service
Audital provides cryptographically immutable audit trail infrastructure for artificial intelligence model governance. The Service is designed to assist regulated financial institutions in meeting their obligations under FCA PS22/3, MiFID II RTS 6, SR 11-7, and related AI governance frameworks.
3. Eligibility & Account Registration
You must be a representative of a legally incorporated entity to register for the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use at hello@audital.ai.
4. Data Ownership
You retain full ownership of all data, model outputs, and audit records processed through the Service. Audital acts as a data processor on your behalf. We do not sell, rent, or share your data with third parties except as required to provide the Service or as required by applicable law.
5. Acceptable Use
You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Service. You must not attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems.
6. Service Availability
Audital targets 99.9% uptime as specified in your service agreement. We reserve the right to modify, suspend, or discontinue the Service with reasonable notice. We are not liable for any modification, suspension, or discontinuance of the Service.
7. Intellectual Property
The Service and its original content, features, and functionality are owned by Audital Ltd and are protected by international copyright, trademark, and other intellectual property laws. Your audit records and data remain your property.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Audital shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service. Our total liability shall not exceed the fees paid by you in the three months preceding the claim.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
